Terms and Conditions for Digital Donations

I (the “Donor”) am the owner of the property or acting on behalf of the organization who owns the property donated (the “Property”) and have full power and authority to enter into this Agreement. I hereby unconditionally give the Property to the Red Deer Archives, including all proprietary rights I have relating to the Property, except those rights or conditions, if any, that are specifically excepted as set out by an email to [email protected].

Appraisal and Disposal:
The Donor understands that the City of Red Deer Archives may, after a review of the records, dispose of any part of this donation which does not meet with our collecting mandate and Acquisition Committee decisions. Any property permanently removed from the Archives holdings in the future due to reappraisal will be disposed of according to archival standards.

Warranty and Indemnity:
The Donor warrants that the Donor is the owner of the property being given to the Red Deer Archives by this Certificate, and agrees to save harmless the Red Deer Archives from any and all third party claims, demands, or actions for which the Donor is legally responsible, including those arising out of negligence, willful harm, or crimes by the Donor.

Execution of Agreement:
This agreement may be executed and scanned or otherwise signed or agreed to electronically and delivered by electronic transmission and when so executed will be deemed an original and binding on the parties. This agreement may be executed in one or more counterparts, each of which taken together, shall constitute only one legal instrument.

Conditions:
If there are any access restrictions or conditions to the donation submission, these must be outlined by the Donor in a separate email to [email protected]. The conditions may not include limitations that prevent the Red Deer Archives from doing its duty to maintain and preserve these records long-term.

Copyright:
By submitting this donation, I acknowledge that the material in the donation may be copied under section 30.2 of the Copyright Act. (Note: If you do not own copyright to the Property, please indicate if possible who does own copyright in the documents or via email to [email protected]). Where the donor holds copyright, the donor agrees to transfer copyright to the Red Deer Archives for the purposes of publication, display, or distribution by the Red Deer Archives or by clients/researchers of the Archives.

Any restrictions regarding proprietary rights, copyright and access must be outlined by the Donor in a separate email to [email protected]. These do not override section 30.2 of the Copyright Act as addressed above.

Collection Notice:
The personal information collected through the donation form is for the purpose of administering the acquisition and donation process for the Red Deer Archives, and the administration and management of the Red Deer Archives holdings. The personal information will be used to provide a record of legal ownership, copyright ownership, and intellectual control as they related to the records that comprise this donation. This collection is authorized by section 4(c) of the Protection of Privacy Act and section 3 of the Municipal Government Act.
